Terms of Service

These Terms of Service ("Terms") govern your use of RenoTracker (the "Service"), provided by MindMap Ventures LLC ("we", "us", "our"). By creating an account or otherwise using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

1. Who we are

The Service is operated by MindMap Ventures LLC. You are entering into a contract with MindMap Ventures LLC. Where you use the Service on behalf of an organisation, you represent that you have authority to bind that organisation. If you are an individual, you confirm you are at least 18 years old.

2. The Service

RenoTracker is a web application that helps homeowners and renovators organise rooms, decisions, products, photos, and budgets for a renovation project, and optionally share a workspace with collaborators. Features and limits depend on your plan (Free or Pro Pass).

3. Accounts and credentials

You must provide accurate information when creating your account and keep it up to date. You are responsible for safeguarding your credentials and for activity under your account. Notify us immediately of any suspected unauthorised access.

4. Acceptable use

You agree not to:

  • Use the Service for any unlawful, infringing, fraudulent, or deceptive purpose.
  • Upload content you do not have the right to upload, or that infringes intellectual property, privacy, or other rights.
  • Send spam, malware, or attempt to probe, scan, or interfere with the security or integrity of the Service.
  • Reverse engineer, decompile, scrape, or otherwise extract source code or bulk data, except as permitted by law.
  • Resell, sublicense, or redistribute the Service or circumvent any technical limits or plan restrictions.

5. User content

You retain ownership of the content you submit to the Service ("User Content"). You grant us a limited, worldwide, non-exclusive licence to host, store, transmit, process, and display your User Content solely to operate, secure, and improve the Service and to provide it to you and the collaborators you choose. You are responsible for your User Content and for ensuring you have the necessary rights to upload it.

6. Intellectual property

We and our licensors own all rights, title, and interest in the Service, including its software, design, trademarks, and documentation. Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable right to access and use the Service for your internal use within the plan you have selected.

7. Pro Pass, payments, and refunds

Our order process is conducted by our online reseller Paddle.com. Paddle.com is the Merchant of Record for all our orders. Paddle provides all customer service inquiries related to billing and handles refunds and chargebacks.

Payment terms, currency, taxes, invoicing, billing frequency, cancellations, and refund mechanics are governed by Paddle's Checkout / Buyer Terms and Refund Policy, in addition to our own Refund Policy.

The Pro Pass is sold as a one-time purchase covering a fixed term (6 or 12 months). It does not auto-renew. If your Pro Pass expires, the Service moves your workspace to a read-only grace period; if you do not renew before the grace period ends, your project data may be permanently deleted, as described in the Service.

8. Service availability and changes

We strive to keep the Service available but do not guarantee uninterrupted or error-free operation. We may modify, suspend, or discontinue features, in whole or in part, at any time. We will give reasonable notice of materially adverse changes that affect paid features.

9. Suspension and termination

We may suspend or terminate your access to the Service, in whole or in part, if you materially breach these Terms, fail to pay, create security or fraud risk, or repeatedly or seriously violate our acceptable use rules. You may stop using the Service at any time and delete your account from the Account page.

On termination, your right to use the Service ends. We may delete your User Content after a reasonable retention period; you are responsible for exporting any content you wish to keep before deletion (you can export decisions from the Account page).

10. Disclaimers

To the maximum extent permitted by law, the Service is provided "as is" and "as available", without warranties of any kind, whether express, implied, or statutory, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will meet your requirements or that any defects will be corrected.

11. Limitation of liability

To the maximum extent permitted by law, our aggregate liability arising out of or relating to these Terms or the Service will not exceed the greater of (a) the total fees you paid to us in the 12 months before the event giving rise to the claim, or (b) USD 50. We will not be liable for indirect, incidental, special, consequential, or exemplary damages, or for loss of profits, revenue, data, goodwill, or business opportunity. Nothing in these Terms limits liability that cannot be limited under applicable law (such as for fraud, death, or personal injury caused by negligence).

12. Indemnification

You will indemnify and hold harmless MindMap Ventures LLC and its officers, employees, and agents from and against any claim, loss, or expense (including reasonable legal fees) arising out of your User Content, your use of the Service in violation of these Terms, or your violation of applicable law or the rights of a third party.

13. Governing law and disputes

These Terms are governed by the laws of the United States and the State of Massachusetts, without regard to its conflict-of-law rules. The parties submit to the exclusive jurisdiction of the state and federal courts located in Massachusetts for any dispute arising out of or relating to these Terms, except where mandatory consumer-protection rules in your country of residence require otherwise.

14. Assignment

You may not assign or transfer these Terms without our prior written consent. We may assign these Terms in connection with a merger, acquisition, reorganisation, or sale of all or substantially all of our assets.

15. Force majeure

Neither party will be liable for failure or delay in performance caused by events beyond its reasonable control, including acts of unknown origin, war, terrorism, civil unrest, labour disputes, internet or utility outages, or governmental action.

16. Changes to these Terms

We may update these Terms from time to time. Material changes will be announced in the Service or by email. Your continued use of the Service after changes take effect constitutes acceptance of the revised Terms.
